Distance Commercial Sales Agreement

This agreement is concluded between MTS Hijyen Tic. A.Ş. (the "Seller") and the corporate buyer placing an order via the B2B portal (the "Buyer") within the framework of Turkish Law No. 6563 on the Regulation of Electronic Commerce and the Turkish Commercial Code. The agreement is deemed concluded once the order is confirmed and payment is made.

1. Parties

• Seller: MTS Hijyen Tic. A.Ş. — Atatürk Mah. Uysal Cad. No:116, Sancaktepe / İstanbul — info@mtshijyen.com — +90 543 683 5765
• Buyer: The company information registered on the portal at the time of ordering is used.

2. Subject Matter

Supply, invoicing and delivery of the hygiene and cleaning products selected by the Buyer via the portal. Products, quantities and unit prices are subject to the summary provided in the order confirmation e-mail.

3. Product Information and Price

Prices displayed on the portal reflect the price list defined for the Buyer and are unit prices excluding VAT; the VAT rate is shown separately on the payment screen. If tiered discounts apply, the quantity-based price breakdown is published on the product page. Price changes apply from the date of publication and do not affect previous orders.

4. Payment Terms

• Credit / debit card: Collection at the time of order; 3D Secure authentication is mandatory.
• Wire transfer / EFT: Payment must be made within 2 business days of order confirmation; no shipment is started before payment is received.
• Current account (deferred): The maturity and limit conditions of the current account agreement signed separately with the company apply. Late payment is charged at the TCMB overnight interest rate.

5. Delivery

• For in-stock products, shipment is started the same day (for orders placed before 14:00) or within 1 business day after payment approval.
• Delivery time is 1 business day within Istanbul and 1–3 business days outside Istanbul.
• For out-of-stock or made-to-order products the delivery time is communicated separately at order confirmation.
• The shipment tracking number is sent to the Buyer by e-mail once the shipment is created.
• In case of force majeure (natural disaster, strike, pandemic, etc.) delivery time may be extended; the Seller notifies the Buyer immediately.

6. Returns and Exchanges

The 14-day right of withdrawal provided under Turkish Consumer Protection Law No. 6502 does not apply to B2B commercial sales. Returns are accepted under the following conditions:

• Damaged / missing delivery: Must be reported within 48 hours of delivery in original packaging and unused.
• Wrong product shipped: For wrong items caused by Seller error, free return shipping and shipment of the correct item are provided.
• Quality issue: For manufacturing-defect cases, return or exchange is applied based on the analysis result.

Return requests must be initiated via the portal ("My Orders > Start Return") or by e-mail to satis@mtshijyen.com. After return approval, the amount is credited to the current account or a return invoice is issued and accrual is completed within 5 business days.

7. Transfer of Title and Risk

Title and risk of the products pass at the moment the shipment is delivered to the Buyer. In the event of loss or damage in transit, the Seller pursues the insurance claim with the courier company on behalf of the Buyer.

8. Confidentiality

Prices, discounts and commercial terms covered by the order are not shared by the Buyer with third parties. For personal data processing principles under KVKK, please review the KVKK Privacy Notice on our portal.

9. Dispute Resolution

Istanbul Anatolia Courts and Enforcement Offices have jurisdiction over disputes arising from this agreement. Effective date: 2025-01-01.
